Benjamin W. Milleville

Ben Milleville is a shareholder in the Corporate and Commercial Group of Babst Calland. Mr. Milleville advises businesses and nonprofit organizations on corporate and transactional matters, including mergers and acquisitions, commercial contracts, governance matters, and real estate transactions.

Mr. Milleville advises businesses of varying size and complexity. In his role as outsourced corporate counsel to a multinational public company, he counsels senior management in the U.S. and abroad on a broad range of legal matters, including corporate governance and compliance issues, mergers, acquisitions, reorganizations, joint ventures, intellectual property licensing and development agreements, and other complex corporate and commercial matters. Mr. Milleville also advises entrepreneurs and startup businesses on the legal issues faced by emerging companies, such as choice of entity, shareholders agreements, and protection of intellectual property.

Mr. Milleville advises nonprofit clients, including economic development, educational, and environmental organizations and trade associations, on a wide variety of matters. In this role, he has counseled clients on obtaining and maintaining tax-exempt status, nonprofit governance matters, nonprofit mergers and strategic alliances, unrelated business income and the creation of for-profit subsidiaries.

Mr. Milleville has experience advising business and nonprofit real estate owners on obtaining and structuring New Markets Tax Credit financing for real estate projects, including new site developments and expansions.

Background

Mr. Milleville received his undergraduate degree from the State University of New York at Buffalo in 2004, earning a B.A. in Psychology. He received his J.D. from the University of Pittsburgh School of Law in 2008. While in law school, Mr. Milleville served as Notes Editor and a member of the Pittsburgh Tax Review.

Preceding law school, Mr. Milleville worked for the Internal Revenue Service. Prior to joining the firm, Mr. Milleville worked in the tax department of an international accounting firm.

Memberships and Affiliations

Mr. Milleville was admitted to the Pennsylvania Bar in 2008. He is the chair of the Allegheny County Bar Association’s Committee on Tax-Exempt Organizations. Mr. Milleville also serves on the boards of the Steinway Society of Western Pennsylvania and GTECH Strategies.
