Benjamin W. Milleville

Ben Milleville is an associate in the Corporate & Commercial and Energy & Natural Resources Groups of Babst Calland. Mr. Milleville advises businesses and nonprofit organizations on corporate and transactional matters, including mergers and acquisitions, negotiation of commercial contracts, and corporate governance matters.
Mr. Milleville advises businesses of varying size and complexity. In his role as outsourced corporate counsel to a U.S.-based multinational company, he counsels senior management and local counsel in the U.S. and abroad on a wide-range of legal matters, including governance and compliance issues, mergers, acquisitions, divestitures, reorganizations, joint ventures and other complex corporate and commercial matters. Mr. Milleville also advises entrepreneurs and startup businesses on legal issues faced by emerging companies, such as choice of entity, founders/shareholders agreements, protection of intellectual property and shareholder disputes.
Mr. Milleville advises nonprofit organizations, including trade associations and health and educational institutions on a wide variety of matters. In this role, he has counseled clients on obtaining and maintaining tax-exempt status, governance matters, unrelated business income and the creation of for-profit subsidiaries.
As a member of the Firm’s Energy & Natural Resources Group, Mr. Milleville advises clients in the energy industry on regulatory, real estate, commercial and tax matters. He has experience with issues concerning oil and gas development, including title analysis for Marcellus Shale developers.
Mr. Milleville received his undergraduate degree from the State University of New York at Buffalo in 2004, earning a B.A. in Psychology. He received his J.D. from the University of Pittsburgh School of Law in 2008. During law school, Mr. Milleville served as Notes Editor and was a member of the Pittsburgh Tax Review.
While completing his undergraduate degree and prior to attending law school, Mr. Milleville worked for the Internal Revenue Service. Prior to joining the Firm, Mr. Milleville worked in the tax department of an international accounting firm.
Memberships and Affiliations
Mr. Milleville was admitted to the Pennsylvania Bar in 2008. He is a member of the Allegheny County and Pennsylvania Bar Associations. Mr. Milleville is a Board Member of the Steinway Society of Western Pennsylvania, and provides pro bono legal assistance to the Greater Pittsburgh Arts Council’s Volunteer Lawyers for the Arts program.
