Area of Emphasis
Joe Koscinski serves as chair of the Business Services Group of Babst Calland. Mr. Koscinski’s practice has focused on: mergers, acquisitions and divestitures; real estate matters including sales, purchases, leases, easements and other agreements; routine and complex commercial contracts; business planning and structuring; e-commerce and technology; and municipal government.
Mr. Koscinski’s extensive experience includes: real estate purchase, sale and lease transactions; commercial leasing representing both landlords and tenants; purchases, sales and leasing of industrial properties, including environmentally-challenged brownfields sites; acquisition finance transactions with commercial lenders; complex construction contracts and subcontracts on behalf of owners; and counseling business on avoiding and navigating on-going shareholder disputes. In addition, Mr. Koscinski has served as the assistant solicitor for the Allegheny County Sanitary Authority since 2005.
In the areas of e-commerce and technology, Mr. Koscinski has substantial experience in software licensing and development, business-to-business and business-to-government e-commerce transactions, joint ventures both in the United States and internationally, and protection of trade secrets and proprietary technology.
Mr. Koscinski also has provided counsel to emerging business owners in a variety of areas, including newly emerging industrial, commercial and e-commerce and technology businesses. Mr. Koscinski also has counseled businesses on multi-million dollar acquisition and divestiture transactions in the commercial and industrial arenas.
Background
Mr. Koscinski earned his J.D., magna cum laude, from Duquesne University in 1995. While at Duquesne University, Mr. Koscinski was a senior staff member of the Duquesne Law Review; executive editor of Juris, the law school’s award winning news magazine; and a member of the Justice Louis L. Mandarino Honor Society. Mr. Koscinski received his B.A., magna cum laude, in Journalism and Communication from Point Park College in 1987. Prior to attending law school, Mr. Koscinski was a reporter for a large Central Pennsylvania newspaper, for which he covered state government and politics and state-wide political races.
Memberships and Affiliations
Mr. Koscinski is a member of the Allegheny County, Pennsylvania and American Bar Associations. In June 2005, he was elected to serve a two-year term as Chairman of the Allegheny County Bar Association Business Law Section Council. Mr. Koscinski was recognized as one of Pennsylvania’s best up-and-coming lawyers in a 2005 survey published in Philadelphia magazine.
Publications/Presentations
Mr. Koscinski is a co-author of course materials and faculty member on a course in Software Licensing presented by the Pennsylvania Bar Association in 2001.
