Area of Emphasis

Ted Wesolowski is the co-chair of the Business Services Group of Babst Calland. He currently serves on Babst Calland’s Board of Directors and is also General Counsel to the firm. Mr. Wesolowski focuses his law practice on business transaction work. He has a strong background in the areas of acquisitions and divestitures of both publicly-held and private companies. He also maintains a very active real estate practice, and has served as counsel with respect to a large number of real estate development transactions. Mr. Wesolowski is well-versed in general commercial law, and a significant portion of his practice focuses on corporate structuring, corporate governance, securities, financing, and construction and contract matters. He has also served as outside counsel to the Board of Directors of a large publicly-held steel company.

Because of the pervasive ramifications that environmental matters have on business affairs, Mr. Wesolowski has also developed expertise in the area of environmental regulation, particularly with reference to its application to business and real estate transactions, as well as accounting and securities disclosure issues.

Mr. Wesolowski, along with Christian Farmakis of the Business Services Group, also has pioneered the development of a low-cost computerized due diligence and contract management system, which is currently being utilized by a number of the firm’s clients.

Business Experience

From 2002 until 2004, Mr. Wesolowski served as the President and CEO of Avalon Holdings Corporation, a diversified public company located in Warren, Ohio. He was brought on board to analyze, develop and implement a strategic plan for Avalon’s future, which resulted in a dramatic restructuring of the Company’s operations and lines of business. Mr. Wesolowski has also served on the Board and the Executive Committee of Avalon.

Academic

One of the founding members of the firm, Mr. Wesolowski attended undergraduate school at Pennsylvania State University where he received his B.S. in 1973. He attended law school at the University of Pittsburgh and graduated magna cum laude in 1981. While in law school, Mr. Wesolowski was the Business Editor of the University of Pittsburgh Law Review. He was also elected to the Order of the Coif and was named a University Scholar.

Memberships and Affiliations

Mr. Wesolowski has served as the President of the Allegheny County Bar Association’s Business Law Section and is a member of the Pennsylvania Bar Association’s Legal Opinions Drafting Group and its Real Estate and Environmental Sections. He has been recognized as one of Pennsylvania’s top lawyers since 2005, according to an annual survey published in Philadelphia magazine. He has been listed in the Corporate Section of The Best Lawyers in America® since 2008.

Mr. Wesolowski is a faculty member of the Pennsylvania Business Law Institute, Secretary of the Pennsylvania Chapter of the National Brownfields Association, and a member of the Program Committee of the National Association of Industrial and Office Properties (NAIOP). Mr. Wesolowski is a graduate of the Greater Pittsburgh Chamber of Commerce’s Leadership Pittsburgh program. He has also served on the Board of Directors of Variety, a charitable organization that focuses on providing financial, mobility and recreational assistance to disabled children and their families.

Publications/Presentations

Mr. Wesolowski has been a lecturer to numerous corporate, construction, real estate, securities and banking industry groups, as well as the local bar association, on various topics.
