For three decades, Babst Calland has offered clients a multidisciplinary approach to providing legal services to the domestic energy, oil, gas and mining industries. As one of the nation’s most respected energy law firms, we represent clients in land, transactional, environmental and litigation matters pertaining to the oil, natural gas, coal, and aggregate industries.

Our clients include exploration and production companies in the most active basins including the Marcellus, Utica, Permian, Eagle Ford, San Juan, SCOOP/STACK, Powder River, Alaska and Williston among others. We cover all aspects of the title examination and analysis process, including full and limited title examination and title due diligence. Our oil and gas title examination and analysis services include:

  • Original drilling opinions
  • Supplemental opinions
  • Acquisition opinions
  • Division order opinions
  • Due diligence as a buyer or seller
  • Financing opinions
  • Title issues in purchase and sale transactions, joint operating agreements and related due diligence
  • Mineral Ownership Reports
  • Advising clients on various title issues and drafting appropriate curative instruments

Because our oil and gas attorneys regularly structure, draft, review and negotiate contracts relating to the production and development of exploration projects, including preparation of drilling and operating agreements, development agreements, joint operating agreements, cooperation agreements, AMIs, farmout agreements, and term assignments, our title examination brings with it the depth and experience necessary to provide value to our clients.

We assist in the seller’s preparation for a sale, the buyer’s preparation for an acquisition, the negotiation of the purchase and sale agreement, the due diligence process, all ancillary documents leading up to the closing, and on post-closing matters as well.

To provide for efficient delivery of legal services, we have assisted our clients in preparing specific field documents tailored to a particular region or a complete exploration project that can be used by a land department with minimal additional modification by in-house counsel. These template documents and projects include oil and gas leases, memoranda of leases, affidavits, letters of intent, purchase agreements, and term assignments.

Additional Resources
“Mineral and surface title analysis and examination is an esoteric and comprehensive area of the law and one that has its own distinct terminology, law and procedures. Babst Calland’s title attorneys are equipped with the knowledge and understanding of the needs of our E&P and midstream clients to help guide them through either verifying mineral ownership through due diligence or clearing title and releasing locations for development.”
