Kate Millikan Joins Babst Calland

Kate W. Millikan recently joined Babst Calland’s Harrisburg, Pa. office as senior counsel in the Corporate and Commercial Group. She focuses her practice on complex real estate transactions and development matters, including advising clients on the sale, acquisition, financing, and development or redevelopment of multi-unit residential, commercial, industrial, and mixed-use projects.

Ms. Millikan represents national and regional developers, builders, investors, and lenders in guiding diverse, large-scale, multi-faceted real estate development from start to finish. She provides strategic guidance on financing, land use, zoning, and regulatory approvals, and has extensive experience navigating municipal processes, including securing Special Exceptions, Conditional Uses, and Variances. She regularly appears before municipal boards and commissions and works closely with local officials, solicitors, engineers, and other stakeholders to advance project approvals and resolve development-related issues.

Ms. Millikan has significant experience with Pennsylvania’s Municipalities Planning Code (MPC) and Subdivision and Land Development Ordinances (SALDO), including zoning analysis, ordinance amendments, and compliance strategies. She is also highly experienced in the statutory frameworks governing common interest communities, including the Pennsylvania Uniform Condominium Act and Uniform Planned Community Act.

In addition, she counsels clients on risk mitigation, complex title analysis, and due diligence matters and on complex real estate acquisitions, dispositions, financing, mergers, reorganizations, leasing, and development projects.

Before joining the Firm, Ms. Millikan was with McNees Wallace & Nurick LLC and Troutman Pepper Locke. She is a 2015 graduate of The Pennsylvania State University Dickinson School of Law.

Meghan Mesojedec Joins Babst Calland

Meghan S. Mesojedec recently joined Babst Calland’s Pittsburgh, Pa. office as an associate in the Corporate and Commercial Group. Ms. Mesojedec focuses primarily on corporate, real estate and transactional matters, including mergers and acquisitions, commercial contracts, and the acquisition, disposition, and leasing of various asset types.

Prior to joining the Firm, Ms. Mesojedec was an associate with Metz Lewis Brodman Must O’Keefe LLC. She is a 2023 graduate of the University of Pittsburgh School of Law.

Susanna Bagdasarova and Joseph V. Schaeffer Selected by The Legal Intelligencer as a “2025 Lawyer on the Fast Track, Small/Midsize Winner”

Babst Calland Attorneys Susanna Bagdasarova and Joseph V. Schaeffer were selected by The Legal Intelligencer as a “2025 Lawyer on the Fast Track, Small/Midsize Winner” in Pennsylvania.

After reviewing the results of nominations for the annual The Legal Intelligencer awards, a judging panel composed of evaluators from all corners of the legal profession and the state selected 12 attorneys as the 2025 Lawyers on the Fast Track, Small/Midsize Winners. This recognition is only given to attorneys under the age of 40 who have demonstrated excellence in four categories: development of the law; advocacy and community contributions; service to the bar; and peer and public recognition.

Susanna Bagdasarova is an associate in the Firm’s Corporate and Commercial and Emerging Technologies groups. Ms. Bagdasarova represents business clients in connection with a broad range of general corporate and commercial law matters, including entity formation, corporate structuring, corporate governance, commercial contracts, and mergers and acquisitions, with a focus on the technology sector. She is a member of the Allegheny County Bar Association and the Pennsylvania Bar Association’s Aeronautical and Space Law Section Council and Commission on Women in the Profession. Ms. Bagdasarova is also a member of the board of the Dickinson Law Alumni Society, GlobalPittsburgh, and Radiant Hall. She frequently writes and presents on the Corporate Transparency Act and artificial intelligence. Ms. Bagdasarova is a 2015 graduate, summa cum laude, of The Pennsylvania State University, The Dickinson School of Law.

Joseph Schaeffer is a shareholder in the Firm’s Litigation Group and Co-Chair of the Appellate Practice Group. He focuses his practice on environmental, energy, and complex commercial litigation and has tried these cases before environmental hearings boards, courts, and juries. Mr. Schaeffer also has an active appellate practice and has served as co-counsel or lead counsel in appellate matters before in Pennsylvania and West Virginia State Courts, the United States Courts of Appeals for the Third and Fourth Circuit, and the Supreme Court of the United States. He currently serves as the co-chair of the ABA Litigation Section’s Pretrial Practice & Discovery Committee and is the secretary of the Western District of Pennsylvania Chapter of the Federal Bar Association. Mr. Schaeffer volunteers with Neighborhood Legal Services’ Protection from Abuse Program in Allegheny County, Pennsylvania, and has provided pro bono representation to individuals and organizations, including a national voluntary bar association in amicus curiae filings in the Supreme Court of the United States.  He is a 2012 graduate, cum laude, of the University of Pittsburgh Law School.

Attorney Chad Wall Joins Babst Calland

Charles F. (Chad) Wall IV recently joined Babst Calland as an associate in the Corporate and Commercial Group. Mr. Wall’s practice focuses primarily on corporate and transactional matters, including mergers and acquisitions, venture capital and private equity investments, corporate governance, and commercial contracts.

Prior to joining Babst Calland, Mr. Wall was an associate with Morgan, Lewis & Bockius LLP. He is a 2021 graduate of University of Virginia School of Law.

IF Ventures Closes First Investment

IF Ventures, a program of Idea Foundry in partnership with Babst Calland, closed its first investment of more than $300,000 in one of the program’s inaugural cohort of companies.

The company receiving investment was one of five companies presented to a group of investors at the end of September 2022. The company remains in stealth mode while it leverages this investment along with other investments to rapidly grow its customer base and enter new markets. Additional investments are still being considered for the inaugural cohort.

IF Ventures operates as an investment group managed as a program of Idea Foundry, Inc., a non-profit economic development organization, backed by a grant from the Economic Development Agency of the U.S. Department of Commerce. The goal of the program is to attract new investors and flow new capital to companies, ultimately triggering economic development through entrepreneurship and business growth. Companies included in the inaugural cohort were selected based on their investment readiness and chosen from more than 100 vetted opportunities.

“The investor interest and attraction of new investors exceeded our expectations at this early stage. We received many compliments from the investors about the model and the cohort of companies. One of the most promising actions that occurred was that our initial group of investors encouraged their peers to join and ultimately became part of this initial investment” stated Michael Matesic, CEO of Idea Foundry, Inc.

The partnership with Babst Calland added to the credibility of the model and the ease by which investors could participate. “Chris Farmakis and his team were so professional and contributed their expertise to ensure investors understood the structure of the investment and investment vehicle” added Matesic.

“Our driving goal was to develop an investment process that is efficient, scalable and predictable.  Our investors appreciated our process of evaluating the companies and putting forth only the best investment opportunities,” Farmakis said. “We vetted many good companies, but only those that met very specific criteria were presented to the prospective investors. This process reduces risk and saves investors time in having to do the vetting themselves.  We’ll continue to build on the foundation we’ve set for this first investment.”

A second cohort of companies will be brought before participating investors in February 2023.

Babst Calland Names Arbaugh, Fennell, Keegan and Wood as Senior Counsel

Babst Calland recently names Tiffany Arbaugh, Dane Fennell, Sean Keegan and Matthew Wood as Senior Counsel in the Firm.

Tiffany Arbaugh is a member of the Energy and Natural Resources and Litigation groups. Mrs. Arbaugh has more than 16 years of experience in the oil and gas industry. She focuses her practice on representing corporations in a variety of litigation matters with an emphasis on mineral title, real estate, trespass, fraud and title curative disputes. Mrs. Arbaugh’s practice also includes advising clients in customary business operations, litigation avoidance strategies and litigation preparedness.

Dane Fennell is a member of the Corporate and Commercial group of Babst Calland. Mr. Fennell’s practice focuses primarily on commercial real estate transactions, mergers and acquisitions, drafting commercial transaction agreements, and general corporate matters. Mr. Fennell’s background includes managing complex due diligence aspects of small and large acquisitions and contract management projects. For these projects, he works closely with Solvaire Technologies, L.P., an affiliate of Babst Calland, to achieve reliable and cost-effective results.

Sean Keegan is a member of the Litigation and Employment and Labor groups of Babst Calland. Mr. Keegan has a broad range of litigation experience in several practice areas including commercial, labor and employment, energy, and maritime. He has experience defending shareholder dispute claims, oil and gas lease disputes, insurance claims, and premises liability claims. Mr. Keegan has represented clients in both state and federal courts throughout the United States.

Matthew Wood is a member of the Environmental group. He assists clients on a variety of environmentally-related legal matters arising under major federal and state environmental and regulatory programs, with a focus on issues involving government inquiries, environmental investigations, remediation and concomitant activities under the Comprehensive Environmental Response, Compensation, and Liability Act (CERCLA), the Resource Conservation and Recovery Act (RCRA), and their state analogs. In connection with this experience, he has advised clients during all stages of multi-year environmental remediation projects under consent decrees and administrative orders at sites across the U.S. Mr. Wood counsels clients in the manufacturing, chemical, metals, and other sectors on permitting matters, compliance, enforcement actions, and government investigations and provides support on issue assessment, risk management, and strategy implementation to ensure effective client operations.

Susanna Bagdasarova joins the Corporate and Commercial and Emerging Technologies groups as an associate. Joseph Pope joins the Corporate and Commercial Group as senior counsel. Mr. Pope’s practice focuses on corporate and transactional matters, including corporate and commercial finance transactions, with a particular focus on transactions involving commercial real estate. Prior to joining Babst Calland, he was a senior attorney with Hergenroeder Rega Ewing & Kennedy. Mr. Pope graduated cum laude from the University of Pittsburgh School of Law in 2008.

West Virginia Attorney Joseph Bunn Joins Babst Calland

West Virginia Attorney Joseph Bunn has joined Babst Calland’s Charleston office as a shareholder and member of its Corporate and Commercial practice group.

Mr. Bunn focuses his practice in financial transactions, mergers, acquisitions, and divestitures. He also counsels clients in other strategic areas such as corporate governance issues and miscellaneous contracts. Over the course of his practice, Joe has negotiated and drafted numerous transactions for buyers and sellers ranging in size from approximately $10 million to $325 million.

“Joe Bunn is well-known in industry in West Virginia and across the country. We’re very pleased to have him as part our team,” said Don Bluedorn, Babst Calland’s Managing Shareholder. “His proven experience in working with clients in the energy industry is a great fit for our Firm, and most importantly for our clients.”

Mr. Bunn earned his J.D. from West Virginia University, and received his undergraduate degree from William & Mary. He is a member of the American Bar Association, and is the Chairman of the Coal Subcommittee of the West Virginia State Bar.

Prior to obtaining his law degree, he worked for a Fortune 500 company and a middle market company where he served numerous roles involving strategic planning, capital raises, and acquisitions and divestitures.

Prior to joining Babst Calland, she was an associate with Dickie, McCamey & Chilcote, P.C. Ms. Holmes is a 2018 graduate of the University at Buffalo School of Law.

Audra Hutter focuses primarily on corporate and transactional matters, including commercial contracts, corporate structuring, mergers and acquisitions.
